Transition Extreme Sports Ltd Seeks Board Members

Transition Extreme Sports Limited is an award winning social enterprise that assists the young people of Aberdeen City & Shire in making the difficult transitions from childhood to adulthood.

We provide a range of innovative sporting, health, employability, diversionary and educational opportunities to support those transitions, and act as a catalyst for improving health and wellbeing within young people.

We're seeking non-executive Directors to provide oversight and governance for the organisation.     Individuals who are comfortable working commercially and strategically, who are willing and able to integrate their role with Transition Extreme into their existing networks and who can offer expertise in one or more of the following:

  • Marketing, PR, media
  • Commercial acumen
  • Accounting
  • Legal
  • Fundraising & Sponsorship
  • Sports development/ Leisure management
  • Customer relations

We're particularly interested in hearing from people who have a connection in either a personal or professional capacity with the work that we do.

But if you have other skills and experience that you think would be valuable then please tell us. The roles are voluntary, unpaid, positions but reasonable expenses are reimbursed.

There are circa 8 Board meetings per annum and each Director would also be expected to attend occasional Board workshops/seminars and contribute time to supporting business development.  The time commitment is around 1 day per month.

As a dedicated local charity, Scottish Charity (No: SC036358), our community work is focused on releasing the potential that is within every young person – something that is of critical importance to us all.

 

Located on a premium site along Aberdeen Beach, our world-class extreme sports centre represents the single largest investment made in dedicated facilities for young people in the City for decades.  We are open to the public and serve many extreme sports enthusiasts, schools, community groups and corporate clients.

 

We cater for everyone – from beginners to experts of all ages, providing year round extreme sports and leisure activities including:

Rock climbing, BMX, in-line skating and skateboarding, band practice rooms, martial arts facilities, creative arts zone, café and community facilities.

Transition Extreme is about to begin development of an outdoor facility adjacent to the existing Centre which will offer high & low ropes courses as well as a dedicated dirt jumps track.

Job Description

Position: Non-Executive Director

Responsible to: The Board of Directors

Introduction

As a member of the Board of Directors you will be responsible for contributing to the following:

Corporate Governance

• Directors should ensure that proper governance processes are in place

Collective Responsibility

• Should support decisions taken collectively by the Board

Organisation Planning

Responsible for:

• contributing to the development of Transition Extreme business strategy which must result in the production of a long-term, viable plan supported by annual and financial plans;
• monitoring progress against both the Corporate Plan and the annual plans;
• ensuring that there are appropriate indicators against which to measure performance of these plans and that the management information provided to monitor such progress is adequate;
• providing an effective, objective challenge to the Executive Management while maintaining good working relationships.

Communication

• Should communicate with fellow Directors, the CEO regarding matters relevant to the Board and in particular provide advice and information relevant to their particular areas of expertise.

Board and Committees

• attend and participate fully in Board meetings, the AGM and any relevant Committee meetings;
• be prepared to accept the chairmanship of a Committee, the role of Vice Chairman or Chairman.

Audit, Risk and Compliance

• ensure the adequacy of management information so as to monitor compliance with all legislative and statutory limits;
• ensure that the Board establishes its risk appetite and tolerances;
• ensure that risk is effectively assessed and managed, and documented within a formal Risk Register which must be kept under regular review;
• be satisfied that appropriate procedures are in place for both external and internal audit, and to ensure that both the external and internal auditors effectively discharge their duties and that they are supplied with all relevant information to do so.

Financial Budgeting and Control

• be satisfied as to the accuracy of financial information and the robustness of financial plans and controls;
• ensure that proper accounts are prepared and presented to the membership annually.

Training and Self Development

• agree with the Chairman and CEO a programme of training and development to reflect the responsibilities of the role;
• maintain a rounded knowledge of the charity, the operating environment and the issues the charity faces;
• conduct a self-appraisal of skills, knowledge and expertise for discussion with the Chairman.

Policies and Procedures

Should ensure that decisions taken by the Board are documented in the format of formal policies and procedures
