OES Group, a leading provider of Testing, Inspection, Certification and Compliance (TICC), engineering, asset integrity and specialist industrial services, has announced its return to private ownership following the successful completion of a management buyout.

The transaction marks a significant milestone in the Group’s evolution, restoring independent ownership and returning the business to the leadership of its founder, Richard Upshall, 30 years after establishing the company in 1996.

The move signals the beginning of a new chapter for OES Group, reinforcing its commitment to delivering integrated Testing, Inspection, Certification and Compliance services while accelerating growth across its specialist operating companies.

Today, OES Group comprises six specialist businesses: OES Asset Integrity, Life Cycle Asset Management (LCAM), Derrick Services Limited (DSL), JVS Manufacturing, Arcus Software and OES Training Academy. Together, these businesses provide customers with end-to-end support across the complete asset lifecycle, helping critical industries operate safely, efficiently and compliantly.

Richard Upshall, original founder and Chairman of OES Group, commented: "Bringing OES Group back into private ownership is an incredibly proud moment for everyone involved. This business was founded on a simple principle: helping customers operate critical assets safely, efficiently and with confidence. The management buyout allows us to return to our entrepreneurial roots, make decisions faster, invest in our people and capabilities, and focus entirely on creating long-term value for our customers, employees and partners. In every sense, ‘find it and fix it’ is the lifeblood of our business, from the way we serve our customers to the way we create long-term careers for our people."

Abdou Djendou, OES Group CEO, added: “With 30 years’ experience in the industry, never have I been as excited by the way ahead for our Group subsequent to our management buyout. We have built a strong global platform of specialist businesses, exceptional technical expertise and trusted customer relationships. As an independent TICC organisation, we are now ideally positioned to accelerate our growth strategy, expand our capabilities and strengthen our position as a leading integrated TICC provider serving the global energy and industrial sectors."

The transition to private ownership reflects OES Group's long-term vision of creating a fully integrated TICC platform that combines technical assurance, operational reliability, digital visibility and workforce capability under one unified organisation.

With three decades of experience supporting the energy, oil and gas, marine, renewables, infrastructure and industrial sectors, OES Group remains focused on helping customers improve safety, compliance, asset performance and operational resilience in increasingly complex operating environments.
